Price and TermsSataton agrees to maintain the quoted calibration service pricing for the term of a purchase order and / or service contract, provided that a firm purchase order and/or contract for the work quoted is received within forty-five (45) days of the quote date. Prices are subject to change without notice, and prices prevailing when your order is received will apply. We will be pleased to furnish quotations by telegraphic transfer or letter of credit. Invoices are due and payable in full within thirty (30) days from their date, unless other terms have been agreed to in writing by Sataton. Finance charges at the rate of 1-1/2% monthly may be added at Sataton’s option to any invoice not paid when due. Prices stated in the invoices are subject to correction for errors unless otherwise noted.
Confirming OrdersTo avoid duplication of telephone orders, please mark confirming orders very clearly.
Shipment and DeliveryFor shipments delivered within the continental People's Republic of China and outside of the People's Republic of China – delivery of products shall be F.O.B. point of shipment and transportation expenses shall be paid by the customer. Title to the products, right to possession and risk of loss pass to the customer at the point of shipment even if (a) the carrier is selected by Sataton or (b) prices are quoted F.O.B. destination, C.O.D. or in any other manner.
All times or dates given for delivery of the goods are given in good faith but without any responsibility on the part of Sataton. Time of delivery should not be of the essence of any contract nor shall Sataton be under any liability for any delay beyond Sataton's control. No liability for non-delivery loss of or damage of the goods occurring prior to delivery or for any claim that the Goods are not in accordance with the contract will attach to Sataton unless claims to that effect are notified in writing by the buyer to Sataton (and in the case of claims for non-delivery loss or damage with a copy to the carrier if the company's own vehicles have not been used to deliver the goods): (a) within seven days of delivery for loss damage or non-compliance with the contract or (b) within ten days of the date of the invoice for non-delivery. In the event of a valid claim for non-delivery loss damage or non-compliance with the contract Sataton undertakes at its option either to repair or replace the goods at its expense but shall not be under any further or other liability to any person in connection with such non-delivery loss damage or non-compliance.
ReturnsGoods supplied in accordance with the contract cannot be returned without the Sataton's prior written authorisation. Duly authorised returns shall be sent to the Sataton's premises at the Buyer's expense.
Force MajeureSataton shall be entitled to delay or cancel delivery or to reduce the amount delivered if it is prevented from or hindered in or delayed in manufacturing obtaining or delivering the Goods by normal route or means of delivery through any circumstances beyond its control including but not limited to strikes, lock-outs, accidents, war, fire, reduction in or unavailability of power at manufacturing plant, breakdown of plant or machinery or shortage or unavailability of raw materials from normal source of supply.
